Terms of Service

1. Acceptance of Terms
By accessing, creating an account on, or using GreenCode (the “Service”), you (“End User” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.
These Terms constitute an End User Agreement as required under GreenCode LLC’s license agreement with the American Medical Association (“AMA”) for CPT® content.
2. Definitions
- “Licensed Content” means the Current Procedural Terminology (CPT®) Standard Data File published by the American Medical Association, including CPT codes, descriptions, and related data incorporated into the Service.
- “Service” or “Licensed Product” means the GreenCode web application, a surgical coding support tool that incorporates Licensed Content.
- “Territory” means the countries listed in Section 11 of these Terms, as may be updated from time to time.
3. CPT License Grant
CPT® is copyrighted by the American Medical Association. “CPT” is a registered trademark of the AMA.
GreenCode LLC, as a party to a license agreement with the AMA, is authorized to grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Licensed Content in the Service, for the sole purpose of internal use by you within the Territory.
Upon termination or expiration of the agreement between GreenCode LLC and the AMA, GreenCode LLC shall notify you. You shall continue to have the right to use the Licensed Content in the Service for the remainder of the year of the then-current annual release (e.g., through the end of the applicable calendar year) (the “End User Tail Period”). Your continued use of the Licensed Content during the End User Tail Period is subject to your continued compliance with all obligations under these Terms. Upon the expiration of the End User Tail Period, the sublicense granted under these Terms shall automatically terminate.
4. Restrictions on Use
You are prohibited from:
- Making Licensed Content publicly available;
- Creating derivative works of the Licensed Content, including translations;
- Transferring, selling, leasing, licensing, or otherwise making available the Licensed Content, or a copy or portion of the Licensed Content, to any unauthorized party, including a subsidiary, affiliate, or other legal entity, however designated, for any purpose whatsoever except as expressly permitted;
- Systematically downloading, scraping, or bulk-extracting CPT data from the Service;
- Using the Service or Licensed Content outside the Territory.
5. Disclaimers
You expressly acknowledge and agree that, to the extent permitted by applicable law, use of the Licensed Content is at your sole risk. The Licensed Content is provided “as is” without warranty of any kind, either expressed or implied, including, without limitation, the implied warranties of merchantability and fitness for a particular purpose.
The AMA does not directly or indirectly practice medicine or dispense medical services. Fee schedules, relative value units, conversion factors and/or related components are not assigned by the AMA, are not part of CPT, and the AMA is not recommending their use.
The Licensed Content does not replace the AMA’s Current Procedural Terminology book or other appropriate coding authority. The coding information contained in the Licensed Content should be used only as a guide.
6. Data Sharing and Consent
You are required to keep records and submit reports including information necessary for the calculation of royalties payable to the AMA by GreenCode LLC. You consent to the release of such information to the AMA. You further agree to provide, without delay, additional information that the AMA (as a third-party beneficiary) may reasonably request, to verify the information.
Nothing herein shall require you to submit or release information that would cause you to be in violation of applicable federal or state privacy laws.
By using the Service, you consent to GreenCode LLC collecting your name, city, state/province, country, and organization name, and sharing this information with the AMA for royalty reporting and licensing compliance purposes. For more details, please see our Privacy Policy.
7. U.S. Government End Users
CPT is commercial technical data, which was developed exclusively at private expense by the American Medical Association (AMA), 330 North Wabash Avenue, Chicago, Illinois 60611. This agreement does not grant the Federal Government a direct license to use CPT based on FAR 52.227-14 (Data Rights – General) and DFARS 252.227-7015 (Technical Data – Commercial Items).
9. Third-Party Beneficiary
The American Medical Association is a third-party beneficiary of these Terms, with the right to enforce the terms and conditions herein.
10. Consent to Release Name
You expressly consent to the release of your name to the American Medical Association.
11. Territory
The Service is authorized for use only within the following countries and territories (“Territory”):
Algeria, Argentina, Australia, Bahamas, Bahrain, Belgium, Bermuda, Brazil, British Virgin Islands, Canada, Cayman Islands, Chile, China, Colombia, Costa Rica, Cyprus, Denmark, Dominican Republic, Ecuador, El Salvador, Federated States of Micronesia, Finland, France, Germany, Greece, Guam, Guatemala, Hong Kong, Hungary, India, Ireland, Israel, Italy, Jamaica, Japan, Jordan, Kenya, Republic of Korea (South Korea), Kuwait, Lebanon, Mauritius, Mexico, New Zealand, Nigeria, Northern Mariana Islands, Norway, Oman, Pakistan, Panama, Peru, Philippines, Poland, Portugal, Puerto Rico, Qatar, Saudi Arabia, Singapore, South Africa, Spain, Sweden, Switzerland, Tanzania, Thailand, Tunisia, Turkey, Uganda, United Arab Emirates, United Kingdom, United States, and U.S. Virgin Islands.
Countries may be added or removed from the Territory by the AMA. If you are located outside the Territory, you are not authorized to use the Service.
12. Updates to CPT Content
The provision of updated Licensed Content in the Service is dependent on a continuing contractual relationship between GreenCode LLC and the AMA.
13. National Correct Coding Policy
The Service includes National Correct Coding Policy content from the Centers for Medicare and Medicaid Services (CMS). The responsibility for the content of any “National Correct Coding Policy” included in this product is with CMS and no endorsement by the AMA is intended or should be implied. The AMA disclaims responsibility for any consequences or liability attributable to or related to any use, nonuse or interpretation of information contained in this product.
14. Subscription and Billing
Access to the Service requires a paid subscription. By subscribing, you agree to the following:
- Automatic Renewal. Your subscription will automatically renew at the end of each billing period (monthly) at the then-current subscription rate unless you cancel before the renewal date. You will be charged the applicable subscription fee on each renewal date.
- Subscription Fee. The current subscription fee is $30.00 per month. GreenCode LLC reserves the right to change subscription pricing upon 30 days’ prior notice to you via email or through the Service.
- Cancellation. You may cancel your subscription at any time through the “Manage Billing” option in your account settings, which opens the Stripe Customer Portal. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds are provided for partial billing periods.
- Payment Method. You authorize GreenCode LLC (via Stripe) to charge the payment method on file for all recurring subscription fees. You are responsible for keeping your payment information current.
- Failed Payments. If a payment fails, GreenCode LLC may suspend your access to the Service until the payment is successfully processed. Stripe may reattempt the charge according to its retry schedule.
- Confirmation. Upon subscribing, you will receive an email confirming your subscription, including the renewal amount, billing frequency, and instructions for cancellation.
15. Termination
GreenCode LLC may terminate your access to the Service if you violate any material provision of these Terms. Upon termination, you must cease all use of the Licensed Content.
You may terminate your use of the Service at any time by canceling your subscription and ceasing use of the Service.
Sections 5 (Disclaimers), 6 (Data Sharing and Consent), 7 (U.S. Government End Users), 9 (Third-Party Beneficiary), 10 (Consent to Release Name), and 14 (Subscription and Billing, with respect to amounts owed) shall survive termination of these Terms.
16. Governing Law
These Terms shall be governed by the internal laws of the State of Illinois without regard to choice of law principles and by the laws of the United States. The courts of the State of Illinois and/or the United States District Court for the Northern District of Illinois shall have exclusive jurisdiction over any action concerning the subject matter of these Terms.
17. General Provisions
If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. No amendment to or modification of these Terms will be binding unless in writing. The delay or failure to assert a right hereunder shall not constitute a waiver of that right.
